I forgot to add in my previous post that I have XP Pro installed on one of those 10 gig partitions in that 20 gig hard drive. That partition has 4.5 gigs of free space left after the programs I use...

No, you don't need to format. Since you didn't list what brand/model motherboard you have, I suggest researching the motherboard on the manufacturers website to find out what socket it is.

Unless you want a processor of a different socket type, you don't need to change the motherboard when doing a cpu upgrade.

What you do need to do though is make sure the cpu you want to upgrade to...

You've got the wrong style DDR2 memory. The motherboard uses DDR2 533/667/800MHz Dual Channel memory.
