have you done a spyware search?

if no then try this and see if it fixes ... make sure you dont delete something you need though Spybot (http://www.download.com/3001-8022-10289035.html)

see I tried going that route but the problem is that it is set to Limited and I cannot uncheck it or make any changes what so ever. I am logged in as total system admin so to me it doesnt make sense....

yup, turns out it was the RAM.... never heard of Mushkin going bad before - such a reputable brand. :-| I put in the new sticks and Windows XP loaded on the first try. If anyone has this problem...
