After thought: Northbridge heatsinks can cause issues like this if they come loose. I see it all the time in Dell Inspiron 1000's. Havent seen it in too many other units but it is a possibility.

List of possible issues:

CPU is not seated properly
CPU/motherboard are not compatible(front side bus on board needs to match CPU)
RAM is not compatible(example - board calls for DDR2 533 only)...

Next step would be to start with the hardware. Pulling memory/switching memory slots/changing memory(if you had some compatible memory available). Reseating the CPU can sometimes help these issues....
