The first thing i would do is remove the Video card for now. hopefully your motherboard has a VGA port ... if it has plug the screen into this port and try to boot.

When you replaced you motherboard did you reinstall XP or do an XP repair. XP does not like hardware like MB and CPU changes with a reinstall or repair so do this and it may solve you problem...

I would take a close look at your Power Supply first. Try changing it or borrow one from a friend. I had one of these problems last week.
