I was wondering if a company goes out of business and leaves old software in there space, is it legal to use the software with the cd key on the package?

If the software is licensed to the company that went out of business and you are auditted and have no affilliation with the company then it is theft. Up to you.

ok i understand that, but what if the software wasn't even opened up still in the box with plastic wrap on it?
