Win XP won't shut down

I've just installed Win XP pro, clean install - the problem is the computer will not shut down. When I click Shut Down, the lights on the tower will flicker a bit, might get a hourglass which then returns to a pointer, but I do not leave the desktop. Everything is still functional. The same thing happens with Restart. I can go into the Sleep Mode though.
I've checked the Power Management settings - there is no APM selection, it isn't available in the BIOS either.
Am at a loss
SIS630 board, 192 mbs RAM
Any help is desparately appreciated!

My computer wont, not shut down, although it sometimes lags, and takes five minutes to shut itself off.
To get by this, I do the following:
1.) Close any running tasks, virus scanners, firewalls, task bar programs
2.) Hit Ctrl+Shift+Esc to open TaskManager
3.) Go to the processes tab, and end any processes that are not needed.
4.) In the processes tab, end the process "explorer.exe" Note: Your taskbar will disappear at this point.. this is what usually causes mine to freeze
5.) In the task manager, select Shut Down, and then select either Turn Off, or Restart.
Hope this works.

nope, am still at a loss. Had already looked at the site from caperjack, but it didn't address the same problems.
I've been told to flash the bios, which I've never done before....am nervous because of the consequences. also been trying to learn the differences between apm and acpi, not sure whether the latter should be enabled or disabled......anything I do though the machine still doesn't shut down, it stays at the fully functioning desktop.
