In search of Folder Lock & Hide software

I'm in search of good folder locking software. Any good software in mind ? I've budget of 40$ max. Can't afford to put more than that.

Also is there any freeware available to do this job ?

My Config :

OS : Windows XP SP2
Filesystem : FAT32
