NVIDIA GeForce 9800 GTX error

Hello can anyone help me fix this warning that i am getting when i do a VC video config on ds2 game?
also when i play the game my other programs don't want to open
eg notepad, regfix and others.
I updated all the drivers with driver guide but still get the warning.
I can play the game but it freezes sometime AND WHEN I WANT TO SHUT DOWN MY PC IT TAKES TOO LONG TO CLOSE

my os is winxp, SP3
NVIDIA GeForce 9800 GTX
TOTAL MEMORY 512.0 MB
4GHz ram but only showing 3.25 ram
duo cpu e8500 @ 3.16GHz
