Why my win2k reboot after being shuted down

Recently, I swaped my old 850 mobo to 848 chipest, want to drop the expensive and old Rdram system. After I re-install win2k, every is ok, just the PC will re-boot after it is shuted down. I checked the mobo BIOS from the manufacturer website, it is the newest version. It is really annoyed, I have to close it manually when it start to reboot each time.

Does anyone what is problem here? Thanks in advance.

My pc: 2.0G, Msi 848, 1G DDR400, 80G HD, 16XNEC DVD.
