Some anti virus programs require that you reboot, I am not sure with NOD32 if this is the case. Wouldn't hurt though.

I have had a similar problem and discovered today that it appears to be due to Windows Live Messenger. This IM software allows file sharing and runs a Service for this called "messenger sharing folders USN journal reader service". When I disabled this Service in MSCONFIG all the problems disappeared - including some problems I was having when I had WMP 11 search drives for songs (it would cause the computer to reboot.)

I have an open service request to Microsoft and will inform them of this discovery tomorrow.
