if you wanted to do this for free, just convert using regular video converter with flash, and in the player itself that you build, where you drag the movie player onto your stage and point it to your video, just put a watermark above it and make it opaque. the player is compiled with it, the water mark sits on top, but then again, the video is still not watermarked if it's the video you send around alone...

I use program Watermark Master. This program allows to create anyone watermarks (text, logo, animation gif and create watermark from small video file, for example swf or flv), to work with any videos files (FLV and SWF)!
