Program Files holds all off the program files required to run an application. This folder is secured to prevent malicious software from tampering with your programs.

ProgramData holds all of the settings and other dynamic information used by the applications. This folder has less security because applications regularly modify these files. This folder was previously named Documents and Settings\All Users\Application Data in Windows XP.
