Since you need extensive CMS solution with registration and various other features I suggest Joomla. It is hard to find proper template configuration, but after some time you will be satisfied.

Google does not penalize if you submit your web site to various shady directories. If that was a case then your competitor would do this instead for you. What you need is good quality links and improvement of the existing web site content.

When looking for CMS most importantly you have to look for two things. 1. Are you going to use template and modify [URL="http://www.joomla.org/"]Joomla[/URL] or similar free cms to suit your needs. 2. Using something like [URL="http://www.instant-update.com/"]Instant Update[/URL] that integrates into existing website.
